Terms of service

Effective September 11, 2026

These terms govern your use of Protected Xchange ("the Service"), operated by Build Your Firm, Inc. ("we", "us"). By signing in to or using the Service you agree to them. If you are using the Service on behalf of an accounting firm ("Firm"), the agreement between that Firm and Build Your Firm also applies and takes precedence where the two conflict.

Accounts

• Accounts are created by invitation from a Firm, or by registering with a Firm that has enabled self-registration and approved your request.
• You are responsible for keeping your password and two-factor codes private and for everything done through your account. Tell your Firm immediately if you believe your account has been compromised.
• Your Firm administers your account and may suspend or remove it at any time.

Acceptable use

You agree not to:

• upload malware or content that is unlawful, infringing or that you do not have the right to share;
• attempt to access accounts, files or Firms that are not yours, or to probe, scan or interfere with the Service;
• use the Service to send unsolicited messages or to impersonate any person or Firm;
• use automated tools to access the Service other than through interfaces we provide.

We may remove content and suspend accounts that violate these terms.

Your content

You and your Firm retain all rights to the files you exchange. You grant us only the rights needed to store, scan, transmit and display them in order to provide the Service. Files are private to you and your Firm; we do not access them except as needed to operate the Service, to respond to a support request, or as required by law.

The Service

We work to keep the Service available and secure, but it is provided "as is" and we do not guarantee it will be uninterrupted or error-free. We may change, suspend or discontinue features, and we may take the Service offline for maintenance. Files expire or are removed according to the retention settings chosen by your Firm; keep your own copies of anything important.

Limitation of liability

To the fullest extent permitted by law, Build Your Firm, Inc. is not liable for indirect, incidental, special or consequential damages, or for loss of data, profits or business, arising from use of the Service. Our total liability for any claim relating to the Service is limited to the amount paid to us for the Service in the twelve months before the claim, or one hundred US dollars, whichever is greater.

Termination

You may stop using the Service at any time by asking your Firm to close your account. We may suspend or terminate access for breach of these terms or where required to protect the Service or other users.

Governing law

These terms are governed by the laws of the State of Connecticut, United States, without regard to its conflict-of-law rules.

Changes

We may update these terms. The effective date at the top will change when we do, and continued use of the Service after a change means you accept the updated terms.
